1. Scope of Agreement

  • All services provided by GIMIC including but not limited to branding, web development, AI-powered solutions, SEO, design, digital marketing, and consulting.
2. Services
  • GIMIC provides services as outlined in project proposals, service agreements, or contracts.
  • Deliverables, timelines, and pricing will be defined and mutually agreed upon before project commencement.
  • Any additional work outside the agreed scope will be treated as a new service and billed separately.
  • GIMIC reserves the right to subcontract services when necessary to deliver the best outcome.
3. Client Responsibilities
Clients agree to
  • Provide all necessary content, data, and feedback within agreed timelines.
  • Ensure that provided content (text, images, videos, logos, etc.) is free from copyright violations.
  • Maintain active communication during the project lifecycle.
  • Acknowledge that delays in providing materials or approvals may result in extended timelines or additional costs.
4. Intellectual Property
  • All content, code, graphics, branding materials, and deliverables created by GIMIC remain our intellectual property until full payment is received.
  • Upon full payment, the client will be granted rights to use the final deliverables for agreed purposes.
  • GIMIC retains the right to showcase the completed work in our portfolio, case studies, and marketing materials, unless otherwise agreed in writing.
  • Clients may not resell, reproduce, or redistribute our work without explicit written consent.
5. Payments & Fees
  • Payment terms are specified in each project proposal/contract.
  • Invoices must be cleared within the timeline mentioned in the agreement (typically 7–15 days).
  • A deposit/advance may be required before work begins.
  • Refunds: Due to the customized nature of creative and digital services, payments are non-refundable once work has commenced.
  • Late payments may attract interest charges as specified in the invoice/contract.
6. Revisions & Changes
  • Proposals include a limited number of revisions as agreed upon.
  • Excess revisions or changes beyond the scope will be billed additionally.
  • Major changes (e.g., redesigning the entire concept, switching platforms, or changing core functionality) are considered new work.
7. Confidentiality
  • GIMIC agrees to keep all client data, strategies, and sensitive information confidential.
  • Clients also agree not to disclose confidential business strategies, processes, or pricing shared by GIMIC.
  • Confidentiality obligations remain even after termination of services.
8. Use of Third-Party Tools & Services
  • Some services (e.g., hosting, plugins, APIs, ad platforms, or payment gateways) may rely on third-party providers.
  • GIMIC is not responsible for outages, errors, or issues caused by third parties.
  • Additional costs for premium tools, plugins, or licenses must be borne by the client.
9. Limitation of Liability
  • GIMIC shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of our website or services.
  • We do not guarantee specific results (e.g., sales growth, SEO ranking positions, or ad performance), though we commit to using best practices.
  • Clients remain responsible for the use of deliverables after handover
10. Termination Policy
  • Either party may terminate a project with written notice.
  • Clients must pay for all completed work up to the termination date.
  • If termination occurs after substantial work has been completed, the advance payment will not be refunded.
  • GIMIC may terminate services if the client engages in unethical practices, fails to pay, or breaches these Terms.
11. Warranties & Disclaimers
  • Services are provided “as is” without warranties of any kind.
  • While we aim for accuracy and performance, we cannot guarantee uninterrupted service, error-free websites, or third-party compliance.
  • GIMIC is not liable for delays caused by events outside our reasonable control (e.g., natural disasters, internet outages, platform restrictions).
12. Governing Law & Jurisdiction
  • These Terms shall be governed by the laws of India.
  • Any disputes will fall under the exclusive jurisdiction of the courts in [Indore, India].
13. Changes to Terms
  • GIMIC reserves the right to update or modify these Terms at any time.
  • The latest version will always be available on our website. Continued use of services constitutes acceptance of changes.
